Terms and Conditions for Smart Invest (Algorithmic Trading)
These Terms and Conditions (“T&C”) apply to your use of the Smart Invest feature (“Smart Invest”) on the Platform. By subscribing to any Smart Invest strategy through the Platform, You agree to be bound by these T&Cs, master Terms of Use, Privacy Policy, and all other applicable policies of the Platform. These T&Cs are in addition to all existing terms and conditions with NU. If these T&Cs conflict with your other T&Cs, these T&Cs govern only your use of Smart Invest.
1. Definitions
1.1. Algorithmic Trading – Refers to a method of executing orders using automated and pre-programmed trading instructions that account for variables such as time, price, and volume.
1.2. Smart Invest – is a facility provided by the Platform that allows users to subscribe to pre-defined algorithmic trading strategies (“Strategies”). These Strategies automatically generate and execute buy/sell orders based on specific market parameters.
2. Strategy Subscription
2.1. Subscription to any Smart Invest Strategy is subject to availability of slots. The Platform reserves the right to cap the number of users per Strategy.
2.2. To invest in a Strategy, You must maintain a minimum “Invested Value” as specified on the Strategy Asset Page.
3. Nature of Algorithmic Trading
3.1. By activating a Smart Invest Strategy, you authorize the Platform to automatically initiate, modify, or cancel orders on your behalf based on the Strategy’s logic.
3.2. Strategies utilized within Smart Invest are based on mathematical models and historical data. Past performance is not indicative of future results. The Platform does not guarantee any profits or protection against losses resulting from the use of Smart Invest.
4. Wallet Management
4.1. If your wallet balance drops below the required maintenance margin, the Strategy may be automatically paused. To resume, You must add funds to meet the “Invested Value” requirement.
5. Strategy Modification and Termination
5.1. You may stop a Strategy at any time through the “Ongoing” tab. Upon clicking “Stop Strategy,” the Platform will square off all active positions related to that Strategy at the prevailing market price.
5.2. Realized gains or losses upon stopping a strategy will be settled in your main wallet as per standard Exchange settlement cycles i.e. T+1. your existing profit or loss will be booked if the strategy is stopped due to the minimum invested value not being maintained.
5.3. The Platform reserves the right to suspend or terminate any Strategy or your access to the Smart Invest feature for regulatory compliance, system maintenance, or risk management reasons.
6. Regulatory Compliance
6.1. All Strategies offered under Smart Invest comply with applicable SEBI, NSE, and RA Regulations. The Platform ensures that all algorithmic trading facilities are provided in accordance with the frameworks prescribed by the relevant regulatory authorities and stock exchanges.
7. Force Majeure
7.1. The Platform shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, service interruptions resulting from software/hardware failures, or systemic failures of the Stock Exchanges.
8. Limitation of Liability and Indemnity
8.1. NU shall not be liable for any losses arising from but not limited to technical failures, network latency in order placement, software bugs, model errors within the Platform or rejection of orders by the Exchange’s risk management system.
8.2. You agree to indemnify and hold NU harmless against any claims, losses, or damages arising out of your use of Smart Invest or breach of these T&Cs.

10. Acknowledgement
10.1. By clicking “Invest Now” within the Smart Invest portal, you confirm that you have read the Risk Disclosure Document for F&O and understand that using the Smart Invest feature involves a high risk.
11. Other Terms
11.1. NU reserves the right to modify, update, change, or discontinue the Smart Invest and these T&Cs at any time without advance notice. Your acceptance of the amended T&Cs or continued usage of Smart Invest will signify Your consent to the changes and agreement to be bound by the same.
